This study considered the most import effects of the regulation of Corporate Governance over the boards of Board of Directors Banks in Saudi Arabia. In the study I have reviewed the effects in two chapters, each included three researches, in the first chapter I discussed the regulation of companies control over the members of the board (conditions of membership, classifying of the membership and the financial awards).
In chapter two, I discussed its effect on the board of directors; as the regulation has required the board to establish number of specialized committees under the control of the board (auditing committee, credit committee, risks committee and the committee of nomination and awards). These committees will provide support and assistance to the board in the accomplishment of its tasks. In this respect, I shed the light upon one of the said committees (the auditing committee) by the use of the general principles which organize the committee’s works, conditions of its chairmanship, membership, responsibilities and authorities.
This is an analytic study which compares between the Corporate Governance control and the draft of main principles of control over the bank operating in the Kingdom of Saudi Arabia, and its applications in the practical aspects thru the review of a number of the principal systems of certain banks operating in the Kingdom (National Commercial Bank, Saudi British Bank ”SAB”, Riyadh Bank and Samba Financial Group ”SAMBA”).
At the end of each chapter, I reviewed the main results (the summary), and at the end of the study I mentioned briefly in the conclusion the most important effects of the regulation of control over the boards of the Saudi banks, and the most important differences between the regulation of the control of companies and the draft main principles of the control of the banks operating in the Kingdom of Saudi Arabia. Finally, the main recommendations to enhance the works of the companies control over the financial market in general and the bank sector in particular. |
