Establishing a Particular Partnership Company in Saudi Arabia is authorized by Saudi Companies Law. Companies in Saudi Arabia can be formed under different identity shape and Particular Partnership Company is one of those shapes. However, there is a big debate related to this kind of companies. In this context, I would like to dig deeper in this particular topic, especially when we know that this kind of companies has a hidden identity nature with the absence of physical existence comparing with other companies; in addition, it has independent financial disclosure, and it is not subject to publicity, also most of the time it has no name; leads to uncertainty situation for those who deal with such kind of companies. For that reason, I am discussing different aspects related to this kind of companies, talking about Commercial Particular Partnership Company as a concept in general, passing by its characteristics and main traits. Then, I am elaborating on some other details such as; how to convert the Particular Partnership Company into different type of companies, and what are the general and special core requirements to establish a Commercial Particular Partnership Company. My research highlights also the capital requirement and how to manage such a company, the capacity of the owner, and who is considered as a Trader, also I am elaborating on how to distribute profits and losses, and the liability of the partners toward others, and how can we return back in liability on the hidden partners, and how could such company expires identifying different reasons for its expiration. In this context also, I am talking about; how could the Particular Partnership Company lose it is hidden identity and get converted into a General Partnership Company. The paper talks about the capital creation in a Particular Partnership Company, mechanism of profits and losses distribution based on the memorandum of association which is issued by the partners.
